These Terms and Conditions of Sale apply, without restriction or reservation, to all sales made by CZE France SAS, with share capital of €5,000, whose registered office is at 11 impasse Pierre Camo, 31200 Toulouse, registered with the Toulouse Trade & Companies Register under number 824 356 513, to consumers, non-professional buyers and professionals over 18 years of age with full legal capacity (hereinafter "the Customer(s)"), wishing to purchase mechanical equipment (hereinafter the "Products") offered for sale by CZE France SAS (hereinafter "the Seller") on its website or directly in store.
The following definitions apply:
Where the Customer is a professional, these Terms and Conditions of Sale constitute, in accordance with Article L 441-1 of the French Commercial Code, the sole basis of the commercial relationship between the parties. Any order implies acceptance of these Terms. The Seller reserves the right to revise them at any time.
Products shown on the Site can be purchased online when the "Add to cart" button is present on the product page.
The Customer selects the Product(s), chooses the quantities, adds them to their Cart and confirms. They are then invited to create an account or log in. The information required to open an account includes: title, last name, first name, billing address, phone number and a valid email address.
After entering this information, the Customer can choose their delivery method, complete or amend their Cart, then confirm the order by clicking "Confirm my cart". The sale becomes final after:
The information recorded by the Seller's IT system constitutes proof of the order (content and date).
Products are supplied at the prices in force shown on the Site on the day the order is placed. Prices are stated in euros, inclusive of all taxes. Delivery charges, determined by the weight and dimensions of the Products and the delivery method chosen, are added to the price of the goods and are shown before the order is confirmed.
The Seller reserves the right to change its prices at any time by simply updating the site. The applicable price is the one displayed at the time the order is placed.
The price is payable in full, in cash, on the day the order is placed, by one of the following methods:
By clicking "Financing" when configuring the machine, the Customer is redirected to Sofinco's secure website to submit a credit application in a few clicks, provide the requested supporting documents and obtain an immediate decision in principle. The order is only processed after Sofinco has given final approval. The Customer has a legal right of withdrawal of 14 days from the signature of the credit agreement.
Professional customers may also apply for financing. They are invited to contact CZN Machinery for further information.

This advertisement is published by CZE France SAS, with share capital of €5,000, 11 impasse Pierre Camo, 31200 Toulouse, Toulouse Trade Register 824 356 513, a non-exclusive credit intermediary of CA Consumer Finance, registered with ORIAS under no. 24 007 411 (www.orias.fr), which assists in arranging consumer credit transactions without acting as the lender.
Ordered Products are delivered in mainland France, within the European Union and for export outside the European Union. The lead times shown at the time of ordering are usual average times.
Shipping charges are shown in the Cart. Products are delivered to the address provided by the Customer when ordering. For consumer and non-professional Customers, delivery includes a user manual, installation instructions and a written notice mentioning the option to record reservations.
The Customer undertakes to provide all information needed for delivery, in particular a phone number reachable during the day. If the Customer is absent, the carrier leaves a delivery notice. If the goods are not collected within the time stated by the carrier, the products are automatically returned to the Seller.
The Customer must check the condition of the Products on delivery. In the event of a problem (damaged package, missing products), reservations must be notified to the carrier and the Seller by registered letter with acknowledgement of receipt within 3 days of receipt. In the event of damage, the Customer must refuse the damaged product, writing "refused due to damage" on the delivery slip.
In the event of a non-conforming delivery, the Customer contacts the Seller on +33 5 31 60 51 61, Monday to Friday from 9am to 12pm and 2pm to 6pm, or by email at contact@czn-machinery.com.
If Products ordered by a consumer or non-professional Customer have not been delivered within 30 days of the indicative delivery date, the Customer may notify the Seller of either suspension of payment or termination of the sale (in accordance with Article L 216-6 of the French Consumer Code and Articles 1219–1220 of the French Civil Code). In the event of termination, the sums paid are refunded within 14 days of the contract being cancelled. A professional Customer may only request termination if the delay exceeds 45 days.
Ownership of the Products is only transferred after full payment of the price, regardless of the delivery date. Except where the Customer uses a carrier they have chosen themselves, the transfer of the risk of loss and damage only occurs when the Customer takes physical possession of the Products.
The Customer has 15 calendar days from delivery to exercise their right of withdrawal, without having to give reasons or pay penalties (except return shipping costs). They then have 14 days to return the product(s) to the Seller.
Products must be returned to: CZN Machinery — 11 impasse Pierre Camo, 31200 Toulouse, in their original packaging, in perfect condition, with all accessories, manuals and the invoice. Items returned incomplete, damaged or soiled cannot be accepted.
Where these conditions are met, the Seller refunds the Customer no later than 14 days after receiving the returned product, by crediting the card used for payment.
The Customer automatically benefits from the legal warranty of conformity and the legal warranty against hidden defects. The Seller cannot be held liable in the event of misuse, negligence, lack of maintenance, normal wear, accident or force majeure.
The products supplied carry a 24-month contractual warranty from the invoice date, covering operating defects. In the event of a delay, the warranty is extended by that duration, up to a limit of 6 months. The Seller replaces parts recognised as defective free of charge or refunds their price based on the purchase invoice. Any refund of repair parts cannot exceed 1/3 of the value of the part originally sold.
The warranty does not apply in the event of abnormal use, failure to follow the manual, impact, drop, negligence, lack of maintenance or modification of the Product.
In accordance with Articles L 217-1 to L 217-32 of the French Consumer Code, the Seller is liable for defects of conformity existing at the time of delivery and appearing within 2 years. In the event of a defect, the Customer may require repair or replacement within 30 days, free of charge. Failing that, they may obtain a price reduction or termination of the sale. The Customer also benefits from the legal warranty against hidden defects (Articles 1641 to 1649 of the French Civil Code) for 2 years from the discovery of the defect.
A seller who, in bad faith, obstructs the implementation of the legal warranty of conformity is liable to a civil fine of up to €300,000 (Article L. 241-5 of the French Consumer Code).
Personal data collected from Customers is processed electronically by the Seller, recorded in its Customer file and essential to processing orders. It is kept for as long as necessary to fulfil orders and applicable warranties. In accordance with the GDPR, the Customer has rights of access, rectification, erasure and portability, exercised at contact@czn-machinery.com. See our full privacy policy.
The Seller remains the owner of all intellectual property rights in the studies, drawings, models, prototypes and works produced for the supply of the Products. The Customer shall not reproduce or exploit them without the prior written authorisation of the Seller.
In the event of a change of circumstances unforeseeable at the conclusion of the contract (Article 1195 of the French Civil Code), the Party that did not agree to assume the risk of excessively onerous performance may request renegotiation. Failing agreement, the Parties may, by mutual consent, request termination or adaptation of the contract. If the change persists beyond 3 months, the contract is terminated in accordance with the "Termination for hardship" article.
Pursuant to Article L 217-12 of the French Consumer Code and Articles 1221 et seq. of the French Civil Code, the consumer or non-professional Customer may, after formal notice, seek specific performance of the solution initially requested. By way of exception, the Parties agree that, in the event of a breach, the aggrieved Party may request termination in accordance with Article 16.
In the event of a breach, the creditor may, 15 days after an unsuccessful formal notice sent by registered letter with acknowledgement of receipt, notify the debtor of its decision to accept imperfect performance and reduce the price proportionally (Article 1223 of the French Civil Code). Failing agreement, the amount of the reduction is determined by an expert (Article 1592 of the French Civil Code).
In accordance with Article 1219 of the French Civil Code, each Party may refuse to perform its obligation if the other Party fails to perform theirs and if such non-performance is sufficiently serious. The refusal to perform takes effect immediately upon receipt by the defaulting Party of a notification by registered letter with acknowledgement of receipt.
The Parties cannot be held liable if non-performance or delay in performance results from an event of force majeure within the meaning of Article 1218 of the French Civil Code (in particular: strike, epidemic, war, embargo, fire, flood, interruption of transport or supplies). The Party noting the event informs the other without delay. Performance is suspended for the entire duration of the force majeure if it is temporary and does not exceed 60 days. Beyond that, the contract is terminated under Article 16.3.
Termination may only take place 30 days after receipt of a formal notice, by registered letter with acknowledgement of receipt, stating the intention to apply this clause.
The aggrieved Party may notify termination for breach 60 days after an unsuccessful formal notice. For any purchase over €500, if the Products have not been delivered 7 days after the indicative delivery date, the Customer may rely on termination for non-performance.
Automatic termination may only take place 30 days after formal notice, if the force majeure is permanent or exceeds 60 days.

Failing that, in accordance with Articles L 612-1 et seq. of the French Consumer Code, the Customer may refer the matter free of charge to an approved mediator. Requests should be sent in writing to Mrs Isabelle Faivre — 17 rue du Languedoc, 31000 Toulouse.
The Customer may also access the European online dispute resolution platform: https://ec.europa.eu/consumers/odr/.
In the event of a dispute with professionals or traders, the Toulouse Commercial Court shall have jurisdiction.
These Terms and the transactions arising from them are governed by French law. They are drafted in French. In the event of translation, only the French text is authoritative in the event of a dispute.
These Terms are expressly agreed and accepted by the Customer, who declares having read them and waives the right to rely on any contradictory document, in particular their own general terms of purchase.
The Parties undertake to maintain the strictest confidentiality throughout the term of the services and without time limit after the contract ends, refraining from disclosing information, knowledge or know-how expressly identified as confidential, unless it has entered the public domain or its disclosure is required by an administrative or judicial order.
The invalidity of any contractual clause does not render these terms and conditions void as a whole, each clause being independent of the others.
The Customer acknowledges having been informed by the Seller, in a legible and comprehensible manner, prior to their purchase, in accordance with Article L111-1 of the French Consumer Code, in particular about:
Making a purchase implies full and complete acceptance of these Terms and the obligation to pay for the Products ordered.
